1. Acceptance of Terms

Welcome to TechCourse Canada. These Terms and Conditions ("Terms") govern your use of our website techcoursecanada.com and the software development, auto technology integration, and consulting services we provide.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Description of Services

TechCourse Canada provides professional software development and technology services, including but not limited to:

  • Auto software integration and vehicle system connectivity
  • Custom web application development
  • Mobile application development for iOS and Android platforms
  • Cloud infrastructure solutions and migration services
  • Business process automation consulting
  • Ongoing maintenance and support services

The specific scope, deliverables, timeline, and pricing for any engagement will be defined in a separate Statement of Work (SOW) or Service Agreement between TechCourse Canada and the client.

3. User Responsibilities

When using our website or engaging our services, you agree to:

  • Provide accurate and complete information in all communications and forms
  • Maintain the confidentiality of any account credentials provided to you
  • Use our services only for lawful purposes and in compliance with applicable laws
  • Not attempt to gain unauthorized access to our systems or services
  • Not interfere with or disrupt our website or services
  • Not use our services to develop products that compete directly with TechCourse Canada
  • Provide timely feedback, approvals, and materials as required for project delivery

4. Intellectual Property Rights

Our Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of TechCourse Canada and is protected by Canadian and international copyright laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Client Work Product

Upon full payment, clients receive ownership of custom code and materials developed specifically for their project, as outlined in the applicable Service Agreement. We retain rights to:

  • Pre-existing intellectual property and frameworks used in development
  • Generic, reusable code components and libraries
  • Our methodologies, processes, and know-how

5. Payment Terms

Payment terms for our services are as follows:

  • Payment schedules and amounts will be specified in individual Service Agreements
  • Invoices are due within 30 days of issuance unless otherwise specified
  • Late payments may incur interest charges of 1.5% per month on outstanding balances
  • We reserve the right to suspend services for accounts more than 30 days past due
  • All prices are in Canadian dollars unless otherwise specified
  • Applicable taxes (GST/HST) will be added to invoiced amounts

6. Project Delivery and Acceptance

Our project delivery process includes:

  • Regular progress updates and demonstrations during development
  • Formal delivery of milestones as defined in the Service Agreement
  • Client review period of 10 business days for each deliverable
  • Acceptance is deemed automatic if no written objections are received within the review period
  • Any requested changes outside the agreed scope will be handled through a change request process

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This includes:

  • Business strategies, processes, and financial information
  • Technical specifications, source code, and documentation
  • Customer data and personal information
  • Any information marked as confidential

Confidentiality obligations survive the termination of any engagement for a period of three (3) years.

8. Warranties and Disclaimers

Our Warranties

TechCourse Canada warrants that:

  • Services will be performed in a professional manner consistent with industry standards
  • Deliverables will substantially conform to agreed specifications for 90 days after acceptance
  • We have the right to provide the services and grant any licenses described

Disclaimers

EXCEPT AS EXPRESSLY STATED ABOVE, OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHCOURSE CANADA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO TECHCOURSE CANADA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless TechCourse Canada, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of our website or services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content or data you provide to us

11. Termination

Either party may terminate a Service Agreement:

  • With 30 days written notice for convenience
  • Immediately if the other party materially breaches and fails to cure within 15 days of notice
  • Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination, you must pay for all services rendered through the termination date. We will deliver any completed work product upon receipt of final payment.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, or internet service interruptions.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved through:

  • Good faith negotiation between the parties
  • Mediation administered by a mutually agreed mediator
  • Binding arbitration in Toronto, Ontario if mediation fails

Notwithstanding the above, either party may seek injunctive relief in the courts of Ontario for intellectual property disputes.

14. General Provisions

  • Entire Agreement: These Terms, together with any Service Agreement, constitute the entire agreement between the parties.
  • Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
  • Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our written consent.
  • Notices: All notices shall be in writing and delivered to the addresses specified in the applicable Service Agreement.
